A registered agent is the person or company the state and the courts send legal papers to. The agent must have a street address in Colorado, not a PO box, and be available during business hours. Annual report and what happens without an agent
The Periodic Report is due the entity's assigned Periodic Report Month, shown on the entity's Summary page; filing is accepted from two months before through two months after that month without penalty. Fee: $25 for an LLC, $25 for a corporation. Late fee: $50.
Without an agent on file: If you don't maintain a registered agent, your entity is at risk in four ways: you may not receive critical information (e.g. a lawsuit summons), your entity risks its good standing with the state, your business (and you personally) may be hit with fines and penalties for noncompliance, and your entity status will be changed to delinquent. (C.R.S. § 7-90-701 et seq.; see also § 7-90-704(2), C.R.S. (service by mail on the entity's principal address when the registered agent cannot be located)). In practice that means missed lawsuits and a company that can lose its good standing.
