What the statute says
A registered agent is the person or company the state and the courts send legal papers to. The agent must have a street address in Washington, not a PO box, and be available during business hours.
Annual report and what happens without an agent
The Annual Report is due on the last day of the month in which the business was originally formed or registered. Fee: $70 for an LLC, $70 for a corporation. Late fee: $25.
Without an agent on file: The Secretary of State may commence a proceeding to dissolve a domestic entity administratively if the entity does not have a registered agent in this state for thirty consecutive days; after notice the entity has sixty days to cure, then the Secretary of State shall administratively dissolve it (RCW 23.95.605(3) and RCW 23.95.610).
