Kansas requires every LLC and corporation to keep a registered agent with a Kansas street address. Every resident agent for a covered entity shall: if a domestic entity, maintain a business office identical with the registered office which is generally open... to accept service of process.

A registered agent is the person or company the state and the courts send legal papers to. In Kansas the statute calls this role the resident agent; it is the same thing as a registered agent. The agent must have a street address in Kansas, not a PO box, and be available during business hours. Annual report and what happens without an agent

The Business Entity Information Report (Annual Report) is due not later than April 15, following the close of the entity's tax period (for corporations formed in odd-numbered years, filed in each odd-numbered year). Fee: $50 for an LLC, $50 for a corporation. Late fee: $85.

Without an agent on file: Forfeiture of the entity's articles of incorporation/authority to do business: failure to file the business entity information report or pay the annual report fee within 90 days of the due date works a forfeiture; a lapsed resident agent is an independent ground for forfeiture even if the report itself is filed on time. (K.S.A. 17-7510). In practice that means missed lawsuits and a company that can lose its good standing.
