Registered Agent by State

What changed · Colorado · From 2025-07-01 · sources and dates shown

Colorado now checks that an individual registered agent lives in the state

Since 1 July 2025 an individual named as registered agent for a Colorado company must hold a current Colorado driver's license or ID card, or verify Colorado residency through the Secretary of State's passcode process. An entity agent must be in good standing, and a PO box is no longer accepted as the agent's address. Checked 2026-09-29.

What changed

  • An individual registered agent must hold a current Colorado driver's license or ID card, or verify Colorado residency through the Secretary of State's passcode process.
  • An entity acting as registered agent must be in good standing on the Colorado business registry.
  • A US or commercial post office box cannot be the registered agent's address.

From when

1 July 2025. House Bill 24-1137 was signed on 3 June 2024 and took effect on 7 August 2024; the agent rules apply from 1 July 2025.

Who it hits

Anyone naming themselves, a family member or an employee as agent for a Colorado LLC or corporation. Residents without a Colorado licence or ID use the passcode route. A service with a Colorado office is unaffected as long as it is in good standing.

What to do

When you file a Statement of Change ($10, online only), have the agent's Colorado ID number ready, or request a passcode first. If your agent's address is a PO box, change it before your next filing.
