A registered agent is the person or company the state and the courts send legal papers to. In California the statute calls this role the agent for service of process; it is the same thing as a registered agent. The agent must have a street address in California, not a PO box, and be available during business hours. Without an agent on file: A business entity's powers, rights and privileges, including the right to use its name, can be suspended or forfeited by the Secretary of State, for example for failing to file the Statement of Information that names the agent (SOS FAQ, suspended/forfeited entities). In practice that means missed lawsuits and a company that can lose its good standing.
