What the statute says

A registered agent is the person or company the state and the courts send legal papers to. The agent must have a street address in Oklahoma, not a PO box, and be available during business hours. You can be your own agent (the LLC's registered agent for service of process may be the LLC itself, an individual resident of..., full wording under the statute below).

Annual report and what happens without an agent

The Annual Certificate is due the anniversary date of the entity's registration with the Secretary of State. Fee: $25 for an LLC, $10 for a corporation. Late fee: not published.

Without an agent on file: If an LLC or registered series has no registered agent or the agent cannot be found, service of process may be made on the Secretary of State as its agent. For corporations, after 30 days' notice the Secretary of State may revoke the certificate, and the entity forfeits $25 per day up to $500 per offense. Separately, an LLC or registered series that fails to file its Annual Certificate within 60 days after the due date ceases to be in good standing. (18 O.S. § 1134 (corporation); 18 O.S. § 2004 (LLC service on Secretary of State); 18 O.S. § 2055.2 (LLC annual certificate good-standing lapse)). In practice that means missed lawsuits and a company that can lose its good standing.
