What the statute says
A limited liability company shall designate and continuously maintain in this state: (1) an office, which need not be a place of its activity in this state; and (2) an agent for service of process.
Neb. Rev. Stat. § 21-113, read 2026-09-08
A registered agent is the person or company the state and the courts send legal papers to. In Nebraska the statute calls this role the agent for service of process; it is the same thing as a registered agent. The agent must have a street address in Nebraska, not a PO box, and be available during business hours. You can be your own agent (The registered agent can be a member of the business entity or a designated third party who resides..., full wording under the statute below).
Annual report and what happens without an agent

The Annual/Biennial Report (Occupation Tax Report for corporations; Biennial Report for LLCs, PLLCs, and nonprofits; Annual Report for LLPs; Annual Benefit Report for benefit corporations) is due Corporations/Professional Corporations: biennially in even-numbered years by March 1 (delinquent April 15). LLCs/PLLCs and Nonprofit Corporations: biennially in odd-numbered years by April 1 (delinquent June 16). Limited Liability Partnerships: annually by April 1 (delinquent June 16). Nebraska Benefit Corporations: annually, within 120 days following the end of the corporation's fiscal year.. Fee: not published for an LLC, not published for a corporation. Late fee: not published.
Without an agent on file: Failure to maintain a registered agent can result in the administrative dissolution of your business.. In practice that means missed lawsuits and a company that can lose its good standing.
