Each corporation shall continuously maintain in this State a registered agent, who shall have a business address in this State and may be a foreign entity authorized to transact business or conduct affairs in this State.

The Annual Report is due end of the calendar quarter containing the entity's registration anniversary date. Fee: $15 for an LLC, $15 for a corporation. Late fee: not published.
Without an agent on file: Administrative dissolution: if grounds for dissolution (which include failure to maintain a registered agent) are not corrected within 60 days after the director's notice, the director administratively dissolves the corporation; it continues to exist but may not carry on business except to wind up and liquidate. (Haw. Rev. Stat. §§ 414-401, 414-402). In practice that means missed lawsuits and a company that can lose its good standing.
