Annual report and what happens without an agent

The Annual Report is due end of the anniversary month of registration, each year. Fee: $0 for an LLC, $0 for a corporation. Late fee: not published.
Without an agent on file: Administrative dissolution: one ground for dissolution is failure to notify the Secretary of State within 60 days that the entity's registered agent has changed or resigned; if not cured within 60 days after notice, the Secretary of State administratively dissolves the entity. (Idaho Code § 30-21-407; Idaho Code Title 30, ch. 21, Part 6 (Administrative Dissolution)). In practice that means missed lawsuits and a company that can lose its good standing.
