What the statute says
A limited liability company shall continuously maintain in this state a registered agent and registered office that may be, but need not be, the same as any of the limited liability company's places of business.

A registered agent is the person or company the state and the courts send legal papers to. The agent must have a street address in Oregon, not a PO box, and be available during business hours. Annual report and what happens without an agent
The Renewal (Annual Report) is due the anniversary date of the entity's original filing. Fee: $100 for an LLC, $100 for a corporation. Late fee: not published.
Without an agent on file: Failure to maintain a proper registered agent and registered office may prevent a company from receiving notice of pending legal action, and could result in a default judgment against the company as a result of failure to appear to defend against a claim. If a registered agent resigns, the business must designate a new registered agent and provide that information to the Corporation Division. Failure to designate a new registered agent will result in administrative dissolution of the business. (ORS 63.647 (Grounds for administrative dissolution, limited liability companies)). In practice that means missed lawsuits and a company that can lose its good standing.
