What the statute says

A registered agent, who shall be: (A) An individual who is at least eighteen (18) years of age, resides in this state and whose business office is identical with the registered office

W.S. 17-28-101, read 2026-09-08

A registered agent is the person or company the state and the courts send legal papers to. The agent must have a street address in Wyoming, not a PO box, and be available during business hours. You can be your own agent (An individual may serve as the registered agent for a business entity if they: are at least 18..., full wording under the statute below).

Annual report and what happens without an agent

The annual report due date is not published on the page we read. Fee: not published for an LLC, not published for a corporation. Late fee: not published.

Without an agent on file: Upon receipt of resignation by a registered agent where no successor is appointed, the secretary of state shall classify the entity as delinquent awaiting administrative dissolution, revocation or forfeiture of its articles of organization as appropriate. If a business entity has no registered agent, or the agent cannot with reasonable diligence be served, the entity may be served by registered or certified mail, return receipt requested, addressed to the entity at its principal office. (W.S. 17-28-103(f); W.S. 17-28-104(b)). In practice that means missed lawsuits and a company that can lose its good standing.
