Utah moved its registered agent law on 1 October 2026

What changed

• Title 16, chapter 17 (the Model Registered Agents Act) is repealed. The duty to designate and maintain a registered agent now sits in Utah Code § 16-1a-402.
• The annual report is due on the last day of the anniversary month, for LLCs and corporations alike (§ 16-1a-212(5)(a)), unless the division sets a different period by rule. It may be filed up to 60 days early.
• An entity with no registered agent in Utah for 60 consecutive days can be administratively dissolved after notice (§ 16-1a-602(3)).

1 October 2026, by S.B. 40 (Chapter 93, 2026 General Session).

Who it hits

Every Utah LLC and corporation, and every foreign entity registered in Utah. Corporations used to count from the month the division mailed the report form (§ 16-10a-1607(4)); the anniversary month now rules for them too.

What to do

Nothing to file for the change itself. Find your anniversary month on the division's record and put the last day of it in your calendar. If a document cites § 16-17-203, the current section is § 16-1a-402. The change-of-agent fee ($17) and the renewal fee ($18, late $10) stand on the fee schedule we read on 2026-09-14, before the act took effect; we have not re-read it since.
