Pennsylvania replaced the decennial report with a $7 annual report

Pennsylvania LLCs and corporations now file an annual report for $7 instead of a report every ten years. Corporations file by 30 June, LLCs by 30 September. A report missed in 2025 or 2026 carries no dissolution; from reports due in 2027, dissolution follows six months after the due date. Checked 2026-09-13.

What changed

  • The once-a-decade report is gone; every Pennsylvania LLC and corporation now files an annual report.
  • The fee is $7 (nothing for nonprofits). Corporations file by 30 June, LLCs by 30 September, other associations by 31 December.
  • Missing the 2025 or 2026 report carries no dissolution. From reports due in 2027, dissolution, cancellation or termination follows six months after the due date, and the company's name loses its protection.

From when

Annual reports from 2025 (Act 122 of 2022, signed 3 November 2022). The dissolution consequence starts with the 2027 report.

Who it hits

Every domestic and foreign corporation, LLC, LP and LLP registered in Pennsylvania. Nonprofits file too, without a fee.

What to do

File at corporations.pa.gov in your window each year. There is no flat late fee; the cost of forgetting arrives in 2027 as loss of good standing and of your name's protection.
